I. COMPANY OVERVIEW
CN Green Roof Asia (CNGRA or the Company) is an investor, developer, and operator, funded by Climate Fund Managers (CFM) and Norfund.
The Company develops Commercial and Industrial (C&I) rooftop solar and utility-scale renewable energy projects across Southeast Asia (SEA) to contribute to climate mitigation.
CNGRA currently has operating assets of ~100 MW in Vietnam, Indonesia, and the Philippines.
II. POSITION SCOPE
The In-house Counsel will primarily be responsible for the Philippines and, from time to time, provide support to our Indonesian office for general legal and compliance functions. The day-to-day work focuses on contract review, implementation, and support for various business units. Occasionally, there will be a combination of EPC, PSA, financing, and JV discussions with the support of third-party advisors.
III. JOB DESCRIPTION
- Ensure the company adheres to local and international laws, regulations, industry standards, and corporate governance requirements.
- Support the Business Development and Regulatory Team in liaising, monitoring, and managing compliance with government agencies and regulatory bodies, including DOE, ERC, SEC, BIR, LGUs, and other relevant authorities, for project approvals, compliance, and reporting obligations.
- Provide day-to-day legal advice and support to management and business units, including HR, Finance, Project, Operations, ESG, and Administration.
- Provide legal support for financing arrangements, corporate restructuring, and related corporate transactions.
- Draft, review, and negotiate financing agreements, security documents, project agreements, vendor contracts, MOUs, service agreements, and other legal documents.
- Lead the legal review, negotiation, implementation, and risk management of EPC (Engineering, Procurement, and Construction) agreements and other construction-related contracts.
- Establish and maintain a structured contract management system to ensure compliance, timely execution, and proper documentation of contracts and agreements.
- Develop and implement internal legal policies, compliance frameworks, and governance practices.
- Prepare and maintain corporate records, board and shareholder resolutions, statutory filings, and compliance reports.
- Provide support in conducting legal due diligence for M&A transactions, including assessment of compliance status, corporate structure, contracts, liabilities, and risks, including review and evaluation of transaction documents (e.g., shareholder agreements).
- Manage and coordinate with external counsel for litigation, corporate, and regulatory compliance matters, ensuring cost-effectiveness and quality of service.
- Provide training and awareness sessions for staff on legal obligations, compliance requirements, and risk management.
- Provide legal support to other countries where CNGRA operates
- Perform other legal services as may be agreed by the parties from time to time
IV. POSITION HOLDER REQUIREMENTS
- Bachelor of Laws and admission to the Philippine Bar
- At least 5 – 10 years of experience in corporate or legal practice, preferably in renewable energy, infrastructure, or related industries.
- Strong understanding of Philippine laws, including energy regulations, contracts, and compliance.
- Excellent drafting, negotiation, and analytical skills.
- Ability to work independently and provide strategic legal guidance.
